Terms of Use

These Terms of Use ("Terms") govern your access to and use of Amplifing (the "Service"), operated by Leapseed ("Leapseed," "we," "us," "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. The Service

Amplifing is a social media management platform that helps users plan, create, schedule, publish, recycle, and analyze content across connected third-party social media platforms, collaborate with team members, manage clients, and access related publishing and analytics features.

We may add, modify, or remove features at any time. We may also depend on third-party APIs that are outside our control; if those APIs change, are restricted, or are discontinued, related features in the Service may change or stop working.

2. Eligibility

You must be at least 16 years old (or the age of legal majority in your jurisdiction, whichever is higher) to use the Service. By using the Service, you represent that you meet this requirement and that you are not barred from receiving services under the laws of any applicable jurisdiction.

3. Accounts

To use most features you must register an account. You agree to:

  • Provide accurate, current, and complete information.
  • Keep your login credentials confidential.
  • Be responsible for all activity that occurs under your account.
  • Notify us immediately at hello@amplif.ing of any unauthorized use.

We may suspend or terminate accounts that contain false information, are used by someone other than the registered owner, or are otherwise used in breach of these Terms.

4. Subscription Plans, Billing, and Refunds

4.1 Plans and pricing

The Service is offered under one or more subscription plans or one-time purchases as described at checkout. Prices, features, and limits are shown at the time of purchase and may change for future billing periods on notice to you.

4.2 Billing

Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before renewal. By subscribing, you authorize us (and our payment processors) to charge your payment method for each renewal.

4.3 Taxes

Prices are exclusive of taxes (including UAE Value Added Tax where applicable) unless stated otherwise. You are responsible for any applicable taxes, duties, or similar charges.

4.4 Refunds

Except where required by applicable law, all payments are non-refundable. We may, at our discretion, offer prorated refunds in cases of extended service outages or other exceptional circumstances.

4.5 Failed payments

If a payment fails, we may suspend your access until payment is made. Repeated failure may result in account termination.

5. Connected Social Media Accounts

The Service requires you to connect one or more third-party social media accounts (such as Facebook, Instagram, X, LinkedIn, and TikTok) using each platform's official authorization flow. You acknowledge and agree that:

  • You have the legal right and authorization to connect and post on behalf of each account you connect.
  • Your use of each connected platform through the Service is governed by that platform's own Terms of Service and Developer/Platform Policies, in addition to these Terms. You are responsible for complying with them.
  • We act only on your instructions; you are responsible for the content you schedule, publish, or distribute through the Service.
  • Connected platforms may change, restrict, suspend, or remove API features at any time, which may affect or remove functionality in the Service. Leapseed is not liable for these changes.
  • We may revoke access tokens, suspend publishing, or disconnect accounts where required by a platform's policies, legal request, or to protect the Service.

6. User Content

"User Content" means any content you upload, create, schedule, publish, store, or transmit through the Service, including text, images, videos, captions, hashtags, comments, drafts, and metadata.

6.1 Your ownership

You retain all rights to your User Content. These Terms do not transfer ownership.

6.2 License to operate the Service

You grant Leapseed a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, display, and distribute your User Content solely to provide and operate the Service for you (including, for example, scheduling and publishing it to the platforms you select, applying watermarks you configure, generating previews, creating backups, and producing analytics for you). This license ends when you delete the relevant User Content or close your account, except where retention is required by law or for backups (which expire on our normal backup cycle).

6.3 Your responsibility

You represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to your User Content and to publish it on each connected platform.
  • Your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights.
  • Your User Content complies with all applicable laws and with each connected platform's policies.

We do not pre-screen User Content. We may, but are not obligated to, remove or refuse to publish User Content that we believe in good faith violates these Terms, applicable law, or a connected platform's policies.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party right.
  • Violate the Terms of Service or developer/platform policies of any connected social media platform.
  • Post, publish, schedule, or distribute content that is unlawful, defamatory, harassing, threatening, hateful, fraudulent, deceptive, infringing, obscene, or that depicts or promotes violence against, exploitation of, or abuse of minors.
  • Engage in spam, bulk unsolicited messaging, coordinated inauthentic behavior, artificial amplification, fake-engagement schemes, or platform manipulation.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Attempt to access accounts, data, or features you are not authorized to access.
  • Reverse-engineer, decompile, scrape, copy, or create derivative works from the Service except where this restriction is prohibited by law.
  • Use the Service to develop a competing product.
  • Introduce malware, viruses, or other harmful code; interfere with or disrupt the Service or its infrastructure; circumvent rate limits, quotas, or security measures.
  • Use the Service to train AI/ML models without our prior written consent.
  • Resell, sublicense, or commercially exploit the Service except as expressly permitted by your plan (for example, agency or white-label features made available to you).

We may investigate suspected violations and may suspend or terminate accounts that violate this section.

8. AI Features

The Service offers AI-powered features that generate captions, hashtags, content ideas, and similar outputs ("AI Outputs"). You acknowledge that:

  • AI Outputs are generated by third-party models and may be inaccurate, incomplete, biased, or otherwise unsuitable.
  • You are solely responsible for reviewing AI Outputs before publishing them.
  • Identical or similar prompts may produce similar outputs for other users; we make no claim of exclusivity over AI Outputs.
  • You will not use AI features to generate content that violates Section 7 or any applicable law.

We disclaim all warranties regarding AI Outputs to the fullest extent permitted by law.

9. Team, Agency, and Client Use

If you use the Service to manage clients or to collaborate with team members:

  • You are responsible for the actions of team members, sub-users, and clients you grant access to.
  • You must ensure they comply with these Terms and applicable platform policies.
  • You are responsible for obtaining any consents required from your clients and audiences for the processing of their personal data through the Service.
  • Where you upload personal data about your clients or their audiences, you act as the data controller for that data, and Leapseed acts as your processor; the Privacy Policy describes how we handle that data.

10. Intellectual Property

The Service, including its software, design, branding, documentation, and content (excluding User Content and AI Outputs), is owned by Leapseed or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

You may not use the Leapseed or Amplifing names, logos, or trademarks without our prior written permission, except as needed to identify the Service.

11. Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant Leapseed a perpetual, irrevocable, royalty-free, worldwide license to use them for any purpose, without any obligation to you.

12. Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if:

  • You breach these Terms or applicable platform policies.
  • We are required to do so by law, court order, or a connected platform.
  • Continued provision of the Service to you poses a security, legal, or reputational risk.

On termination, your right to use the Service ends immediately. We may delete your User Content and account data subject to the retention periods in the Privacy Policy. Sections that by their nature should survive (including Sections 6.2 last sentence, 7, 10, 11, 13, 14, 15, 16, 17, and 18) survive termination.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. Leapseed disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, free of harmful components, or that any content (including User Content, AI Outputs, or analytics) will be accurate, complete, or reliable. We do not warrant the availability, behavior, or pricing of any connected third-party platform.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the disclaimers above apply to the maximum extent permitted.

14. Limitation of Liability

To the maximum extent permitted by law, in no event will Leapseed, its affiliates, or its and their officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or content, arising out of or in connection with the Service, even if advised of the possibility of such damages.

Leapseed's total cumulative liability for any and all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid to Leapseed for the Service in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).

These limitations apply regardless of the legal theory on which the claim is based and even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted.

15. Indemnification

You agree to defend, indemnify, and hold harmless Leapseed and its affiliates, and its and their officers, directors, employees, and agents, from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your User Content, (b) your use of the Service, (c) your breach of these Terms, (d) your violation of any law or third-party right, including the policies of any connected social media platform, or (e) any dispute between you and a third party (including team members, clients, or audiences).

16. Changes to the Service and to These Terms

We may modify the Service at any time. We may also modify these Terms. When we make material changes to these Terms, we will notify you by email or by posting a notice in the Service before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, stop using the Service before the effective date.

17. Governing Law and Disputes

These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates applicable therein, without regard to conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts of Dubai, United Arab Emirates, and you and Leapseed consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual-property or confidentiality rights.

18. General Provisions

  • Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms presented at checkout, constitute the entire agreement between you and Leapseed regarding the Service and supersede any prior agreements.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
  • No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
  • Force majeure. Neither party is liable for failures or delays caused by events beyond its reasonable control (including outages of third-party platforms, internet failures, natural events, labor disputes, or government actions).
  • Notices. We may give notices by email to the address associated with your account or by posting in the Service. You must send legal notices to Leapseed at hello@amplif.ing and to the registered address listed below.
